Ramsgate Works Desk Rental Agreement

THIS AGREEMENT between:

Heritage Lab Community Interest Company ("the Provider"), trading as Ramsgate Works, located at the Old Wine Warehouse, Charlotte Court CT11 8HE and the Member - being the person making the payments for the desk rental.

1. TERM AND COMMENCEMENT

1.1. The Agreement shall commence on the date this agreement is “signed” and shall continue on a rolling monthly/4 monthly/6 monthly basis until terminated by either party in accordance with Clause 6. For the purposes of this agreement, ticking the approval box on the webform is de facto acceptance of the terms and conditions set out herein.

2. SERVICES PROVIDED

2.1. The Provider agrees to offer the Member access to a designated or hot desk space at Ramsgate Works.

2.2. The Agreement includes: a) Use of a desk space within the co-working facility. b) Access to shared amenities, including internet, communal areas, and kitchen facilities. c) Business hour access will normally be from 08:00–18:00 Monday to Friday and subject to review based on usage. The minimum contractual opening hours are 09:00–17:00 Monday to Friday.

3. PAYMENT TERMS

3.1. Fees are payable in advance by direct debit on or around the 1st of each month.

3.2. Failure to make payment within five (5) business days of the due date may result in suspension of access and/or a late payment processing fee to cover the extra administration costs and any bank fees. This will be a minimum of £25+VAT per missed payment.

3.3. Prices may be reviewed with 30 days' written notice. Part month memberships may be billed pro rata before subscription commences.

4. USE OF SPACE

4.1. The space is for business use only.

4.2. There shall be no sub licensing of the facilities.

4.3. No modifications or additional furniture without consent.

4.4. Members must comply with community guidelines.

4.5. Smoking and vaping in any part of the building is not permitted.

4.6.  The complimentary printer is provided for reasonable business use.

4.7. Meeting pods are subject to availability and fair booking policy set by our members – currently a maximum of 4 x 1-hour bookings per day and 12 bookings per week.

4.8. Guests (up to 2) must follow house rules.

4.9. Members will keep background noise to a minimum.

4.10. Members may need to use smartphone access systems and must not share access credentials. Lost fobs, if provided, will incur a replacement fee of £30 +VAT.

4.11 Permanent desk members may use a lockable cupboard. Lost keys incur a £30+VAT replacement fee.

5. LIABILITY AND INDEMNITY

5.1. Members are responsible for damage beyond reasonable wear and tear.

5.2. The Provider shall not be liable for loss or damage to member property.

5.3. Members agrees to indemnify the Provider against any claims arising from their use of the space.

6. TERMINATION

6.1. Members may terminate this Agreement by giving one full calendar month’s written notice. For example, if cancellation is given on 20th May, the contract will end on the 30th June. There is a minimum of 2 full calendar months’ membership, except for the Carnet.

6.2. The Provider reserves the right to terminate the Agreement with immediate effect if the Member breaches the terms of this Agreement.

6.3. Upon termination, the Member must vacate the premises and remove all personal belongings.

7. GENERAL TERMS

7.1. This Agreement does not create a lease but a license to use the space.

7.2. Any disputes shall be resolved amicably or referred to mediation before legal proceedings.

7.3. This Agreement is governed by the laws of England and Wales.
